DMH Stallard advises on restructuring of international scientific research group

DMH Stallard has advised on the exit arrangements and restructuring for a merged international group.

The group, who wish to remain anonymous, specialise in design, development and manufacturing of highly specialised scientific research equipment.

Abigail Owen, Corporate Partner at DMH Stallard, and Kelly Mills, Dispute Resolution Partner, advised the continuing partners in the group.

Abigail and Kelly have previous experience in dealing with complicated legal transactions around the world, including in the UK, USA and Europe. Some of these transactions involved the restructuring and unravelling of merged international groups.

In this latest case, legal assistance was required for the buy-back of shares, and the restructuring enabled the successful exit of one of the original founding companies

Abigail said: “The transaction involved dealing with a number of shareholders, as well as the sensitive nature of the transaction and international elements, within a short time timescale. I am pleased that we were able to bring everything to a successful conclusion.”
