DMH Stallard completes restructure and merger of Roundstone Nurseries with Newey Group

09 Mar 2015

DMH Stallard has completed the restructure of Chichester based Roundstone Nurseries and merger with a member of the Newey Group, the parent company of a number of leading nursery based business centres located across the Midlands.

This deal follows the acquisitions, by Roundstone Nurseries, of New Forest Plants and New Place Nurseries in 2013.

Roundstone Nurseries, with centres in Chichester, Exbury and Pulborough, is one of the largest producers of bedding plants, vegetables and herbs in the UK and is a major supplier to national retailer B&Q.

The business has been owned and run by Richard Cahn since 1985. This deal was structured by Mark Spofforth of Spofforths LLP, and provides for the equity in Roundstone Nurseries to be acquired in two instalments by the Newey Group, allowing the Cahn family to retain property investments.

Newey Group, led by Alex Newey will take over the management of the new Roundstone Nurseries going forward.

Commenting on the deal, Jonathan Grant, Head of DMH Stallard’s Corporate team and Insider’s South East Corporate Lawyer of the Year 2015, said: “Spofforths LLP created the structure, agreed by Newey Group.  The legal work was relatively complex, but was made easier by the cooperative attitude of both parties, who knew and trusted one another.  We were delighted to help transition this quality local business into the next stage of it’s development.”
