What our commercial lawyers do

 

Our commercial lawyers handle a broad range of technology transactional and advisory work, acting in roughly equal measure for suppliers and users of technology. We advise on matters ranging from routine areas such as software (including apps) development and licensing through to complex cloud-computing projects, major procurements and outsourcing transactions. Given the differing methods for delivering IT services, our commercial lawyers regularly advise on related areas such as information law, e-commerce and digital media.

We are often involved in our clients’ technology upgrade programmes and outsourcing initiatives. Increasingly, we advise on cloud computing (or “IT as a service”) matters as the business world recognises the benefits of adopting this technology, including increased flexibility and reduced capital expenditure.

We steer our clients through IT/software maintenance and support agreements so that they may understand the impact of availability, service levels and service credits on their business.

Clients wishing to buy or sell IT businesses often instruct us at an early stage of the deal process (which we very much welcome) as they often need to understand the value or problems with their, or the target company’s, IT contracts. We can provide IT contract “health checks” which many clients consider invaluable when evaluating a deal.

How our commercial lawyers work

 

Our commercial lawyers have over 20 years of experience specialising in IT contracts and related areas. We often work with others in the firm, including lawyers in our technology litigation, real estate and employment teams, to provide a “joined up” response to those operating in, or customers of, the IT sector.

We act for clients across the range in both the public and private sectors, and aim to deliver advice that truly reflects our clients’ needs, whether that be a short licence agreement or a complex software development project.

We undertake a range of technology work across many industries which gives us a particular insight into the legal developments and business changes.

We are members of and contribute to IT industry organisations such as the Federation Against Software Theft (FAST), the Cloud Industry Forum and the Society for Computers and Law.
