DMH Stallard advises Sygna Holdings shareholders on majority investment by Apleona

DMH Stallard has advised the shareholders of Sygna Holdings Limited, a longstanding client of the firm, on the sale of a majority stake in the business to leading European integrated facilities management company Apleona.

The transaction, which completed on 1 July 2026, sees Apleona acquire a majority shareholding in Sygna, while the existing shareholders retain a significant minority stake and continue to lead the business as its management team. The investment marks an important milestone in Sygna’s continued growth and international expansion.

Headquartered in Canary Wharf, London, Sygna is an international provider of commissioning and technical project management services, supporting clients throughout the lifecycle of complex building and technology systems. Employing around 90 specialists, the business has grown from its origins in the UK to establish operations across the UK, Germany, France, Spain, Italy and Denmark. Sygna specialises in mission-critical infrastructure, including data centres, commercial offices, energy infrastructure, gigafactories and pharmaceutical laboratories.

The transaction supports Apleona’s strategic expansion within the rapidly growing data centre and colocation market, while providing Sygna with access to Apleona’s European platform and international client base to support its continued international growth. As part of the partnership, Sygna will continue to operate under its existing leadership team.

Chris Dodd, Commercial Director, Sygna, said:

We are delighted to embark upon this new chapter with Apleona, and DMH Stallard has been a crucial partner in realising this. As we continue to grow at pace across EMEA, our team and clients will benefit significantly from the scale and depth of expertise that Apleona and Sygna together deliver.

Kate Partridge, Partner in DMH Stallard’s Corporate team, said:

We were delighted to support the shareholders of Sygna on this significant transaction. In addition to advising on the sale of a majority stake, the transaction required us to structure the ongoing shareholder arrangements to reflect the founders’ continued investment in and leadership of the business. It was a pleasure to work alongside our longstanding client and colleagues from across the firm to deliver a successful outcome.

Kay Miles, Senior Associate in the Corporate team, added:

This transaction demonstrates the value of bringing together expertise from across our Corporate, Employment, Commercial, Real Estate, Tax and Banking teams to support clients on complex transactions. We are proud to have advised the shareholders on this important milestone and look forward to seeing the business continue its growth as part of its partnership with Apleona.

For DMH Stallard, the transaction extended beyond the sale of a majority stake. The team advised the shareholders on the sale of part of their shareholdings while structuring the ongoing governance and equity arrangements that enable the founders to retain a significant minority stake and continue leading the business. The transaction therefore balanced the shareholders’ objectives of securing strategic investment, while preserving long-term management ownership and continuity.

The transaction was led by Corporate partners Kate Partridge and Mark Diamond, and Senior Associate Kay Miles, with support from Will Walsh (Employment), Liz Gillingham and Georgie Swift (Commercial), Rebecca Collard (Real Estate) and Tyne Harman (Banking and Finance).
