DMH Stallard and Kreston Reeves advise Lodge Group on sale to Diploma PLC

DMH Stallard and Kreston Reeves have advised Lodge Group, including its two subsidiaries FC Lane Electronics Ltd & Weald Electronics Ltd, on its sale to Interconnect Solutions Group, a subsidiary of Diploma PLC.

Based in Horsham, West Sussex, Lodge Group and its subsidiaries are one of the UK’s leading supplier and distributor of specialist electrical connector products. For over 60 years, the Lane family have built and managed a successful and trusted business that has been at the heart of the UK electronics industry.

Interconnect Solutions Group is a group of businesses that supplies electrical-mechanical products and high-performance interconnect solutions across a range of industries. The group is headquartered in the UK, with additional locations in Germany, Czech Republic and the USA.

The transaction follows the passing of FC Lane Electronics founder and chairman Frederick Lane in 2024.

The sellers were supported by a multi-disciplinary advisory team from both DMH Stallard and Kreston Reeves.

DMH Stallard advised the sellers on all legal aspects of the deal. The team was led by Corporate Partner Mark Diamond and included Kay Miles and Carolina Colman (Corporate), Liz Gillingham (Commercial), Greg Burgess (Employment), and Rebecca Collard (Real Estate).

Mark Diamond, Corporate Partner at DMH Stallard, said:

This transaction represents an important new chapter for Lodge Group and its subsidiaries. We were pleased to work closely with the team at Kreston Reeves to support the shareholders through the sale process and help position the business for continued growth under new ownership.

The Kreston Reeves team was led by Corporate Finance Director Darren Hurdle and M&A Associate Director Jihad Karambizi, with Corporate Tax Senior Manager Zhen Bailey providing corporate tax advice.

Darren Hurdle said:

Lodge Group has been a long-standing client of Kreston Reeves. We have seen the business grow to over 70 employees and build a loyal customer base around the world. Whilst the sale follows the sad death of its founder, we are delighted to have played a part in finding new owners for the business that will continue its journey.

Rosemary Lane, a director of Lodge Group said:

We are enormously grateful to the team at Kreston Reeves and the law firm DMH Stallard for their incredible and hands-on support throughout the transaction. This sale to Interconnect Solutions Group will see the business continue to grow and thrive.

Paul Campbell, Managing Director, Interconnect Solutions Group, said:

FC Lane Electronics Ltd and Weald Electronics Ltd are hugely respected businesses with strong reputations across the global connector sector. We are delighted to acquire the companies, and we look forward to continuing to invest in the businesses and their people for the benefit of our customers.
